Terms of Service

These Terms of Service (“Terms”) govern your access to and use of KYBR’s website, products, and services. By accessing or using KYBR’s services, you agree to be bound by these Terms.

1. Company Overview

KYBR (“KYBR”, “we”, “us”, or “our”) provides business automation, AI-powered communication tools, and related systems designed to assist businesses in managing customer interactions and workflows.

2. Services

KYBR provides software-based and automation services that may include communication, workflow automation, and related business tools. Services may be delivered through KYBR systems and/or integrated third-party providers.

3. Use of Services

Clients are granted a limited, non-exclusive, non-transferable right to use KYBR services. Clients agree not to:

  • Misuse or interfere with services or systems
  • Reverse engineer, copy, or extract underlying systems
  • Attempt to bypass access restrictions or usage limitations
  • Use services in violation of applicable laws
  • Disrupt or impair system functionality or security

KYBR may suspend or restrict access where misuse is suspected.

4. AI System Variability (Execution-Level)

KYBR services may include automated systems that process inputs and generate outputs. Clients acknowledge that:

  • Automated systems operate based on programmed logic and probabilistic models
  • Outputs may vary depending on input quality, configuration, and system context
  • Automated systems may not interpret all inputs correctly in every scenario
  • External systems (e.g., telecom, calendar, messaging providers) may affect execution

This clause applies to how the system performs tasks, not business results.

5. No Guarantee of Results (Outcome-Level)

KYBR does not guarantee any specific business outcomes, including but not limited to:

  • Revenue increases
  • Lead volume or quality
  • Appointment bookings
  • Conversion rates
  • Marketing or advertising performance
  • Business growth or profitability

Actual results depend on factors outside KYBR’s control, including business operations, market conditions, client configuration, and third-party system performance.

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate and lawful business information
  • Operating their business in compliance with applicable laws
  • Managing customer relationships and fulfillment
  • Obtaining all required consents for communication (including SMS/calls where applicable)
  • Reviewing automated outputs where appropriate before acting on them

7. SMS & Communication Compliance

Clients are responsible for compliance with all applicable communication laws, including consent requirements and opt-out obligations. KYBR is not responsible for Client compliance failures.

8. Fees & Payment

Fees are defined in applicable agreements, invoices, or onboarding terms. Unless otherwise stated:

  • Fees are billed in advance
  • Fees are non-refundable except where required by law
  • Late payment may result in suspension or termination of services

Clients agree to raise billing disputes directly with KYBR in good faith before initiating external payment reversals where reasonably possible.

9. Trial or Evaluation Access (If Applicable)

Where KYBR provides trial or evaluation access:

  • No payment is required during the trial period unless explicitly stated
  • Trial access is for evaluation purposes only
  • Paid subscription terms apply upon activation of paid services

10. Intellectual Property

All KYBR systems, software, workflows, and proprietary technology remain the property of KYBR. Clients retain ownership of their own data and business materials.

11. Third-Party Services

KYBR may rely on third-party providers such as:

  • Communication providers
  • Calendar and CRM systems
  • Hosting and infrastructure services

KYBR is not responsible for third-party outages, changes, or service failures.

12. Service Availability

KYBR does not guarantee uninterrupted or error-free service. Services may be affected by maintenance, updates, or third-party dependencies.

13. Security

KYBR implements commercially reasonable administrative, technical, and organizational safeguards designed to protect information against unauthorized access, disclosure, or misuse. KYBR’s website and services use HTTPS encryption for data transmitted over the internet.

14. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis. KYBR disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Termination

KYBR may suspend or terminate services for:

  • Non-payment
  • Misuse or abuse of services
  • Legal or regulatory risk
  • Violation of these Terms

Clients may cancel services at any time prior to the next billing cycle. No refunds are provided for unused time or partial billing periods unless required by applicable law.

16. Limitation of Liability

To the fullest extent permitted by law in Ontario and Canada, KYBR shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to:

  • Loss of revenue or profits
  • Loss of business opportunities
  • Business interruption
  • Data loss
  • Service delays
  • Communication or scheduling errors
  • Third-party system failures
  • Automated system output errors

Liability Cap: KYBR’s total aggregate liability shall not exceed the total fees paid by the Client to KYBR during the three (3) months immediately preceding the event giving rise to the claim.

17. Indemnification

Clients agree to indemnify and hold harmless KYBR from claims arising out of:

  • Client use of services
  • Client business operations or instructions
  • Violation of applicable laws
  • Failure to obtain required consents
  • Customer disputes related to Client services

18. Privacy

KYBR collects, uses, and discloses personal information in accordance with applicable Canadian privacy principles, including PIPEDA where applicable. KYBR applies the following principles:

  • Collection is limited to what is reasonably necessary for service delivery
  • Consent is obtained where required, and may be express or implied depending on context
  • Personal information is used only for identified purposes or as permitted by law
  • Individuals may request access to or correction of their personal information
  • Personal information is retained only as long as necessary for operational or legal purposes

19. Data Storage & Cross-Border Transfers

Personal information may be stored or processed outside of Ontario or outside of Canada through third-party infrastructure providers. Where this occurs, KYBR applies commercially reasonable measures to ensure appropriate handling consistent with applicable Canadian privacy principles.

20. Web Design Services

This section applies to KYBR’s website design and development service and is in addition to the general Terms above. Where this section conflicts with a general Term, this section governs for that service.

20.1 Scope

The service covers the design, copywriting, build and launch of a website, followed by an ongoing plan that covers hosting and maintenance. Plans and page counts are as described on the Web Design page at the time of purchase:

  • Launch: up to 5 pages, $297 one-time build fee, then $197 per month
  • Boosted Launch: up to 12 pages, $397 one-time build fee, then $297 per month

All amounts are in CAD and exclude applicable taxes. The build fee is charged at kickoff. The monthly plan is billed in advance in accordance with Section 8.

20.2 Timeline

KYBR targets 7–10 days from the kickoff call to launch. This target assumes the Client attends the discovery call, supplies any requested materials, and returns one consolidated round of revisions. Time spent waiting on Client input is not counted toward the target, and the target is not a guaranteed delivery date.

20.3 Client Responsibilities

  • Attending one discovery call
  • Providing accurate business, service and service-area information
  • Supplying any photographs, logos or other materials the Client wants used
  • Confirming the Client holds the rights necessary to use any materials supplied to KYBR
  • Providing revisions in one consolidated round at the review stage

20.4 Revisions and Post-Launch Changes

One consolidated round of revisions is included before launch. For the first month after launch, changes required to get the site working and presenting correctly are made at no additional cost. After that first month, the ongoing plan covers smaller updates such as text, images, pricing, seasonal offers and staff details. Larger work, including new pages, features or sections, is scoped and agreed with the Client before any additional work begins.

20.5 Ownership

The Client’s domain, photographs, files and any other materials the Client provides remain the property of the Client at all times. While the website is part of an active KYBR plan, the design, code and copy created by KYBR for the Client remain the property of KYBR in accordance with Section 10, and are licensed to the Client for use as part of that plan.

20.6 Buyout Policy

A Client who wishes to keep the website after ending their plan may purchase it outright for a one-time fee of $997 CAD.

On completion of the buyout:

  • Ownership of the website transfers to the Client
  • KYBR hands over the website files and the associated accounts
  • Hosting, security, updates, monitoring and any future changes become the responsibility of the Client
  • The KYBR ongoing plan, and everything included in it, ends

The buyout fee is separate from any outstanding amounts owing on the Client’s plan.

20.7 Hosting, Cancellation and Continuity

Managed hosting, SSL, security patching and uptime monitoring are provided as part of the ongoing plan. Consistent with Section 15, the Client may cancel at any time prior to the next billing cycle, and there is no minimum term. When a plan ends, the services provided under that plan end with it, including the hosting that keeps the website online. A Client who wants the website to remain available afterwards may exercise the Buyout Policy in Section 20.6 or arrange hosting elsewhere. The Client’s domain remains registered in the Client’s name throughout.

20.8 Accessibility

KYBR builds to a WCAG 2.2 Level AA baseline. Whether a particular organisation is subject to the accessibility requirements of the Accessibility for Ontarians with Disabilities Act, 2005 and its Integrated Accessibility Standards Regulation, and whether that organisation meets them, depends on the organisation, its size and its own use of the website after launch. The Client is responsible for its own compliance obligations. KYBR does not provide legal advice and does not warrant compliance with any accessibility legislation.

20.9 Search Performance

Every website is built with a technical search foundation, including crawlable pages, structured data and Google Search Console connected. Consistent with Section 5, KYBR does not guarantee any search ranking, position or traffic volume. Search results depend on the Client’s market, competitors, reviews and factors controlled by search providers.

20.10 Google Business Profile (Optional)

A Google Business Profile is the Client’s own asset and must be verified in the Client’s name. Where a Client prepays 3 months of their plan, KYBR will create, link and take the profile through verification at no additional cost. The profile is registered in the Client’s name with owner access held by the Client. KYBR takes manager access only, solely to maintain the profile and keep it connected to the website, and the Client may remove that access at any time.

21. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts located in Ontario, Canada.

22. Changes to Terms

KYBR may update these Terms from time to time. Continued use of services constitutes acceptance of updated Terms.
